LEGAL

Begins upon execution by both parties on 2025-09-15 and ends when final court decisions or settlements are reached on all aspects of the Matter, unless earlier terminated under Section 7.2

Agreement commences upon execution (2025-09-15) and automatically continues until all final court decisions or settlements are reached in the Matter; it may be terminated by the State without cause on 30 days’ notice, for cause on 15 days’ notice with opportunity to cure, or by Special Counsel on 60 days’ notice. Upon termination without cause or withdrawal by Special Counsel, fees and costs are payable on a quantum meruit basis from any Gross Recovery as described in Section 4.6; no fees or costs are owed if terminated for cause.
