$0.85 per customer per billing period plus 1.8% of gross billings per billing period; setup costs up to $5,000

Initial term effective upon execution with automatic one-year renewals for up to five years; may continue thereafter until successor agreement executed

Agreement automatically renews annually for up to five years from execution; fees may be revised effective January 1 each year. After expiration, the agreement may remain in effect until a successor agreement is executed; subject to termination for monetary or non-monetary default with cure periods.
