Initial term runs from execution through June 30, 2030 and may be renewed by mutual consent for one additional year. Either party may terminate without cause effective June 30 of a given year (other than the first calendar year of the initial term) by providing notice by January 1; during the first calendar year, termination may occur on other dates with at least six months’ notice. Maynard may terminate with cause on 30 days’ written notice, and the agreement automatically terminates if Maynard fails to appropriate sufficient funds, with pro-rated refund of annual payments upon termination.
