This amended and restated agreement supersedes and replaces the prior Agreement to Finance Development dated September 29, 2025, which is void and of no further force and effect. The TIF agreement becomes effective when executed and remains in effect until the developer's obligations are satisfied and the MRO has been issued; if conditions precedent are not met by December 31, 2027, the agreement becomes null and void.
