Initial 40‑month term from January 6, 2025 to May 30, 2028, then automatically renews for successive one-year periods under identical terms unless terminated in writing. Either party may terminate without cause with 30 days’ written notice (agreement continues through current rotations if practicable). Either party may immediately terminate if the other is insolvent, bankrupt, or changes ownership. If terminated during the initial 12 months, the parties may not enter a similar agreement for at least one year from the Effective Date.
