Agreement originally dated April 16, 2021; ongoing until terminated under Section 9.1 as amended; Customer must update to then-current or immediately preceding Release Family within 12 months from last signature date of this Amendment 2

Renewal

Amendment 2 restates Section 9.1 so the Agreement continues until terminated under its terms, allows termination for material breach, insolvency, or upon 30 days’ notice when no Order Forms are in effect, and provides for pro-rata refunds of prepaid unused subscription fees upon certain terminations. Within 12 months of the fully executed Amendment, Customer must move to the then-current or immediately preceding Release Family; ServiceNow will thereafter only provide Updates for the current and immediately preceding Release Families.
