The Effective Date and delivery term of the Capacity Purchase Agreement are identical to the Power Sales Contract between IMEA and the City of Carlyle. The delivery term automatically extends as the Power Sales Contract is extended in the future, either automatically or by amendment. The Member may terminate the Agreement for specific generating units with 180 days’ notice for retirement or removal, or the Agreement may terminate by mutual consent or upon termination of the Power Sales Contract. Dedicated Capacity payments are recalculated annually effective May 1 based on the previous year’s testing and updated Table A values.
