JWSC Plans Tyler ERP SaaS Implementation Contract

Professional services to implement ERP $382,585; up to $21,920 in travel; SaaS fees $128,338 for year one and $126,538 per year for years two and three (maximum implementation and first-year cost $532,843; years 2–3 SaaS $126,538 each)

Initial SaaS term equal to number of years indicated for SaaS Services in Exhibit A (if not indicated, one-year initial term commencing first day of first month following Effective Date) with automatic one-year renewals; SaaS years 1–3 priced in memo (year 1 $128,338; years 2–3 $126,538 each)

Initial SaaS term begins on the first day of the first month following the Effective Date and then renews automatically for successive one-year terms at Tyler’s then-current SaaS fees, unless either party provides at least 60 days’ written notice prior to the end of the then-current term. Agreement may be terminated earlier for cause, force majeure, or lack of appropriations per Section E.
