Initial 1-year MCA Term commencing 7/1/2026, automatically renewing for successive 12-month terms unless either party gives at least 90 days’ written notice before the end of the then-current term. Upon each automatic renewal, rates increase by 5% from the then-current rate. A 30-day non-binding trial period begins on the Commencement Date; if not terminated during the trial, the full MCA Term applies. Early termination by Client for reasons other than CTS uncured breach may trigger liquidated damages equal to the balance of payments due through the end of the MCA Term and applicable SOWs.
