Piqua TIF Agreement for Shaytura Data Center Project

The City of Piqua is entering into a Project Area TIF School District Compensation Agreement connected to J5, LLC d/b/a Shaytura, LLC’s planned data center project, under which the City will grant long-term TIF and CRA property tax exemptions and collect service payments and PILOTs from the Company. In turn, the City will remit defined School TIF and PILOT Payments to Piqua City School District and Upper Valley Career Center for the duration of the exemptions, funded solely from payments in lieu of taxes and PILOTs actually received from the Company or successor owners.

TIF Exemption up to 30 years per parcel; CRA Exemption up to 15 years per Data Center Building; Agreement effective for such period as any TIF Exemption is in effect with respect to the TIF Site

Renewal

The Agreement remains in effect for such period as any TIF Exemption is in effect within the TIF Site and may be amended only by written agreement of all Parties. The City may terminate the Agreement if the Company fails to proceed with the Project or ceases to receive any TIF Exemption and the City rescinds all TIF Exemptions on the Project Area; the School Districts may terminate upon an uncured Event of Default by the City, with rights to collect any then-due unpaid School Payments. No automatic renewal is provided.
