Initial 12‑month term beginning on the Effective Date, automatically renewing for successive 12‑month additional terms unless either party provides written notice of non‑renewal at least 20 days prior to the expiration of the then-current term. Annual fees for additional terms may increase by up to the greater of 8% or CPI, subject to notice, and may also increase mid‑term if usage materially expands (including mergers or acquisitions). Funding failure by the City triggers a right for either party to immediately terminate without penalty.
