Initial Term of 12 consecutive months from Effective Date; auto-renews for additional 12‑month terms unless either party gives 20 days’ written non‑renewal notice before term end

Initial 12‑month term begins on the Effective Date (last signature date), with automatic renewal for additional 12‑month terms unless either party provides written notice of non‑renewal at least 20 days prior to the end of the then‑current term. Annual fees for any additional term may increase by up to the greater of 8% or CPI unless different pricing is noticed 30 days prior to renewal. Agreement may terminate early for material breach (30‑day cure), non‑payment or usage restriction breach, or funding failure by the City.

Contract
