Up to $75,000 for fixtures and technology upgrades; commissions of 5–7% of Gross Sales of Course Materials, 5% of Gross Sales of First Day® and Digital Products, and 7–9% of Gross Sales of General Merchandise

Initial term runs July 1, 2026 through June 30, 2031. At the end of the Initial Term and each Renewal Term, the Agreement automatically renews for one year unless either party provides at least 180 days’ written notice of non-renewal. Institution and BNC may also terminate on 120 days’ written notice, or for uncured material breach after at least 30 days’ notice (with reasonable extension if cure is in progress). BNC’s up-to-$75,000 fixtures and technology investment is depreciated over five years and any un-depreciated amount must be reimbursed to BNC if the Agreement terminates before that period ends.
