Base term runs from July 1, 2026 through June 30, 2031, contingent on continued funding; may be amended only in writing with approval by both parties. Either party may terminate for convenience with 180 days’ written notice, for uncured material breach with 15 days’ notice, for force majeure events lasting over 90 days, or at any time by mutual written agreement. Certain provisions, including indemnification, FERPA/HIPAA, confidentiality, records retention, and governmental immunity, survive termination.
