Millersport TIF Reimbursement Deal for Vantage Data Centers

Not to exceed the “Maximum Reimbursement Amount” equal to the total eligible Public Infrastructure Improvement costs detailed in Exhibit C, including up to $50,000,000 of unreimbursed water and wastewater costs accruing 3.63% non‑compounding interest after canal reconstruction repayment

FACILITIES

Commencing with first tax year after effective date of TIF Ordinance in which a DTE 24 exemption is claimed; TIF exemption up to 30 years per parcel; Agreement remains in effect until the later of final reimbursement to Company or last Service Payment

TIF exemption and related reimbursement obligations run parcel‑by‑parcel for up to 30 years from each parcel’s Commencement Date or until the Village can no longer require service payments or all Public Infrastructure Improvement costs are paid. The Company may terminate the Agreement on 30 business days’ written notice, forfeiting reimbursements attributable to Service Payments for the next tax year and thereafter; statutory Service Payment obligations survive. Certified Statements for reimbursement must be submitted by December 31, 2042.
