Kairos Public District Awards Facilities Contract to Regis Homes of Sacramento Llc (December 2025)

$100 for option consideration; Extension fee of $25,000; Reimbursement/Note up to $1,200,000; Purchase price minimum $2,800,000 or as calculated per Exhibit E; Management fee up to $5,000/month not to exceed $120,000

FACILITIES

Initial option period of 5 years from Effective Date (December ___, 2025) with a one-time 2-year extension at Optionor’s election; Promissory note, if elected, maturing 3 years after Termination Date; Profit participation right through July 1, 2032

Initial option period of five years from the Effective Date, with a one-time right for Kairos (Optionor) to extend the option period by an additional two years if it sends written notice before expiration of the Initial Option Period and Regis deposits $25,000 into escrow for release to Kairos. A separate interest-only promissory note, if elected upon termination with entitlements, matures three years after the Termination Date and is secured by a first deed of trust. Profit participation right for Optionee continues if the Development Parcel is sold before July 1, 2032.

Agreement
