Cuyahoga Heights Local Schools Awards License Contract to Neola Inc (July 2026)

PACKAGE 1: $36,500.00 (either lump sum within 30 days of invoice, or two installments of $18,250.00 each at execution and 12 months after); PACKAGE 2: $22,000.00 (either lump sum within 30 days of invoice, or two installments of $11,000.00 each at execution and 12 months after); Annual Update Service cost $3,540 with 3% annual increase; Annual digital publishing service fee $795; Extraordinary Updates up to $500 annually; plus hourly/at-cost fees per Addendum A

LICENSE

Perpetual license to Licensed Materials; drafting timeline up to 2 years from Template Access Date for bylaws/policies and 1 year thereafter for administrative guidelines; Update Service subscription billed bi-annually and renewable annually; agreement void if not executed within 90 days

Update Service and digital publishing are annual subscriptions billed on a recurring basis, with fees in Addendum A increasing automatically at 3% annually unless Neola provides 30 days’ notice for larger increases. The Board intends to annually renew the Update Service to keep Licensed Materials current; either party may terminate at any time by written notice, after which access to Neola’s update and publishing platform ceases though the Board may continue to use already adopted materials subject to license terms.
