Agreement does not auto-renew. District may unilaterally terminate prior to expiration only by paying all fees for the remainder of the term as liquidated damages; ESD 105 may terminate with 30 days’ notice for nonpayment or nonperformance. Either party may terminate for non-compliance with 30 days’ written notice, and the District may terminate a Specialist’s assignment for cause under defined conditions. Conversion fee applies if District hires or uses ESD 105 Specialists during the term or within one year after expiration.

Agreement
